MX CONCEPT - EURL L'IDÉE MOTEUR
These Terms and Conditions of Sale are supplemented by the following documents, which together with them form an inseparable contractual whole:

• Privacy Policy and Intellectual Property (GDPR personal data processing, copyrights)
• Mediation and Dispute Resolution (force majeure, mediation procedures, legal jurisdiction)
Acceptance of these T&Cs entails acceptance of all these documents.

2. SITE ACCESS AND ACCOUNT CREATION
The MX CONCEPT website is open to individuals and professionals in the motorcycle sector.
2.1 Account validation: Access to the site and the ability to purchase (add to cart, order) are subject to prior validation of the account by the Seller. For professional customers wishing to benefit from specific pricing conditions, EURL L'IDÉE MOTEUR will validate the account after verification of professional supporting documents (Kbis extract, SIRET number or registration in the trade register). The Seller reserves the right to refuse or suspend any account without having to justify its decision.
2.2 Continuity of relations and acceptance of T&Cs: These T&Cs apply to the current order as well as to all subsequent transactions made by the customer, regardless of the channel used (website, e-mail, telephone, SMS, WhatsApp or any other means of communication), except for a written derogatory agreement signed by the Seller. For orders placed by e-mail, telephone, SMS or any other means outside the website, acceptance of the proforma or commercial invoice and payment for the order constitute full and complete acceptance of these T&Cs.
2.3 Transmission obligation for professional resellers: The Seller provides a use and maintenance manual for assembled wheels, accessible on the website (footer) and in the customer account. This manual can also be supplied with the package or by e-mail. The professional reseller customer undertakes to transmit this manual to the end user. The professional reseller customer is solely responsible for verifying the suitability of the product with the final use of their own customer and guarantees the Seller against any recourse from an end user resulting from non-compliant use or lack of information on their part.
3. PRODUCTS AND COMPLIANCE (STRICT WARNING)
The customer's attention is expressly drawn to the technical nature of the products sold.
3.1 Product use and customer responsibility
a) Assembled wheels and wheel components: Assembled wheels (motocross, supermotard, enduro, electric motorcycles such as SURRON, Talaria, etc.) and their components (hubs, rims, spokes, brake discs, etc.) are exclusively intended for use on closed circuits or in competition. They are not approved for circulation on public roads. Their use on open roads is strictly prohibited and constitutes an offense under the Highway Code.
b) Equipment and accessories: Other products and accessories marketed by MX CONCEPT (protective equipment, goggles, launch control, caps, various parts, etc.) have specific conditions of use according to their nature. The customer must refer to the manufacturer's instructions and the regulations applicable to each product.
c) General responsibility: For all products, the customer is solely responsible for verifying before placing an order the compatibility of the product with their vehicle, the intended use, and the legal conditions of use. The customer acknowledges having been informed of these restrictions and releases the Seller from any liability in case of non-compliant use. The professional reseller customer undertakes to inform their own customers of these usage restrictions.
3.2 Absence of Approval Certificate: Although some rims may bear the engraved mention "DOT", the Seller specifies that it does not have any manufacturer's certificate of conformity attesting to road approval. The "DOT" engraving concerns the American market and does not constitute European road approval. It cannot in any way be interpreted as authorization to circulate on public roads in France or in the European Union.
3.3 Compatibility responsibility: The customer is solely responsible for verifying, before placing an order, the technical compatibility of the product with their vehicle, particularly in terms of dimensions, bolt pattern, offset, central bore, fixings, necessary wheel spacers and load limits. The Seller cannot be held responsible for a customer order error concerning specifications incompatible with their vehicle.
3.4 Non-contractual visuals: The photographs, illustrations and descriptions presented on the website or any communication medium have a purely indicative value. Only the technical specifications confirmed in writing in the quote or invoice are contractual.
3.5 Availability of spare parts: In accordance with article L. 111-4 of the Consumer Code, the availability period for spare parts essential for the use or assembly of wheels (spokes, rim locks, spoke nuts, hubs, bearings, oil seals, wheel spacers) is 2 years from the date of purchase, subject to actual availability from manufacturers and suppliers.
3.6 Assembly on parts supplied by the customer: In case of assembly on parts supplied by the customer (used hubs, etc.), EURL L'IDÉE MOTEUR does not carry out any verification of the mechanical condition, origin or reliability of these parts. Its warranty then only covers the assembly service itself. The customer acknowledges that assembly on parts they provide is carried out at their own exclusive risk and peril.
Any equipment entrusted and not collected or not paid for within 6 months after the invoicing date will be considered abandoned and may be resold to cover the costs incurred. A registered letter with acknowledgment of receipt will be sent to the customer 15 days before the expiry of this period.
3.7 Sale of separate components: When the customer purchases separate components (hubs, spokes, rims, spacers, etc.) without assembly by the Seller, the customer is solely responsible for the assembly, fitting and compatibility of these components with each other and with their vehicle. The Seller declines all responsibility regarding the quality of assembly carried out by the customer or a third party, and no warranty applies to a product assembled by the customer or a third party from separately purchased components.
3.8 Intellectual property - Automatic launch control: The automatic launch control marketed by MX CONCEPT is protected by a registered patent belonging to EURL L'IDÉE MOTEUR. Any reproduction, copy, counterfeiting or unauthorized use of this patent is strictly prohibited and subject to legal proceedings in accordance with the Intellectual Property Code.
4. ORDERS AND CUSTOMIZATION
Wheels are assembled in France and customized on demand.
4.1 Customization possibilities: The customer can choose the color of the rims, hubs, spokes and spoke nuts, as well as the rim size. Hubs and wheel spacers are specific according to the make, model and year of the motorcycle.
4.2 Definitive nature of customized orders: Due to their highly customized nature (made according to the customer's precise specifications of colors, dimensions and vehicle compatibility), orders for assembled wheels cannot be subject to any cancellation or right of withdrawal once production has been launched (in accordance with article L. 221-28 of the Consumer Code). The launch of production may occur immediately after validation of the order by the customer (signature of the quote, payment or express agreement). If the wheels have already been assembled or shipped, no return, exchange or refund will be possible.
4.3 Right of withdrawal:
For individual customers: For standard non-customized products in stock (accessories, spare parts), the individual customer benefits from a 14-day right of withdrawal in accordance with article L. 221-18 of the Consumer Code, provided that the product is returned in its original packaging, in perfect resale condition, with all accessories and instructions, that the return costs are borne by the customer and that the return has been previously authorized in writing by the Seller. Customized products are excluded from the right of withdrawal.
For professional customers: In accordance with article L. 221-3 of the Consumer Code, the professional customer does not benefit from any right of withdrawal. Any order placed by a professional is firm and final.
5. PRICES AND PAYMENT CONDITIONS
5.1 Prices: Listed in euros (€) including VAT for individuals and excluding VAT for taxable professionals. No discount for cash payment unless otherwise stated. Quotes issued by the Seller have a validity period of 30 calendar days.
5.2 Deposits: In case of order cancellation by the customer (excluding delivery delay exceeding 30 days), deposits paid remain acquired by the Seller as fixed damages to cover preparation costs and ordering of specific components.
5.3 Payment: Credit card, bank transfer, PayPal or LCR at 30 days for professionals with an account validated by the Seller and a history of regular payments. The price is due on order unless otherwise agreed in writing.
5.4 Payment delays: In accordance with articles L. 441-10 and D. 441-5 of the Commercial Code, any delay automatically results, without prior formal notice, in interest calculated at the rate of three times the European Central Bank rate + 10 points, as well as a fixed indemnity of €40 for professionals and a minimum of €300 for all customers.
5.5 Recovery costs: In case of recourse to a recovery agency or legal auxiliary, an additional minimum indemnity of €300 will be charged, without prejudice to the reimbursement of actual costs if higher.
5.6 Sanctions: Non-payment of a single invoice results in the immediate enforceability of all invoices, the forfeiture of all commercial discounts, rebates and allowances granted to the customer over the last 12 months (which must be reimbursed to the Seller), and suspension of deliveries. The Seller reserves the right to terminate the sale 8 days after sending a formal notice that has remained unsuccessful.
5.7 Compensation prohibited: No dispute can justify non-payment. Disputes must be resolved in parallel with payment of amounts due.
6. SHIPPING AND DELIVERY TIMES
The following times are given as an indication in working days:
6.1 Preparation times:
- Standard products in stock: 24 to 48 working hours
- Customized products in stock: 1 to 5 working days
- Supplier order: 1 to 4 weeks
- Direct supplier delivery (air): 1 to 12 weeks depending on manufacturing times and availability
- Direct supplier delivery (sea): time communicated on a case-by-case basis depending on order volume, manufacturing times and mode of transport
6.2 Transport times after shipping:
- Metropolitan France: 24 to 48h
- European Union: 24 to 96h (2 to 4 days)
- French overseas territories and international: 4 to 15 days
These times are not contractual.
6.3 Mandatory verification upon receipt: The customer must imperatively check the condition of the package upon arrival in the presence of the delivery person. In case of apparent damage, they must refuse the package or make precise and characterized handwritten reservations on the carrier's transport document (examples: "package opened on the left side", "upper corner dented", "wet package"), have these reservations signed by the delivery person, take photographs, then confirm these reservations by registered letter with acknowledgment of receipt to the carrier within 3 working days, attaching the photos. The Seller must be simultaneously informed by e-mail at contact@mxconcept.com. Failing this, no claim related to transport will be admissible. The goods will be deemed delivered in perfect condition.
6.4 Direct deliveries from the supplier (professional customers): For certain large orders placed by professional customers, the Seller may organize direct delivery from its supplier's warehouse (located notably abroad) to the professional customer's address. In this case, the Seller organizes and handles international transport and customs formalities. The Seller provides a tracking number when available. In case of loss or damage during international transport, the Seller will implement the necessary steps with the carrier and/or its supplier to resolve the dispute. The professional customer must imperatively carry out the verifications provided for in article 6.3 upon receipt.
6.5 Customs and taxes: For deliveries from our premises in France to French overseas territories or outside the EU, taxes and customs duties are the exclusive responsibility of the customer. Refusal to pay customs taxes does not constitute grounds for reimbursement. If the goods are returned due to refusal of customs clearance, round-trip and storage costs will remain the responsibility of the customer.
6.6 Delays: Since the times are indicative, no penalty may be claimed in case of delay. In case of delay exceeding 30 calendar days compared to the announced time, the customer may cancel the order by registered letter with acknowledgment of receipt and obtain reimbursement of amounts paid, without other compensation.
7. RETENTION OF TITLE CLAUSE AND RISKS
7.1 Retention of title: In accordance with article L. 624-16 of the Commercial Code, goods remain the property of EURL L'IDÉE MOTEUR until full payment of their price in principal, interest, penalties, costs and accessories. Default of payment automatically results in the enforceability of return of goods. The Seller may recover unpaid goods, even in possession of third parties, at the expense of the defaulting customer.
7.2 Transfer of risks:
a) Standard deliveries from the garage: The transfer of risks occurs upon delivery of products to the carrier ("ex garage" clause), whether the shipment is made to the customer's address or directly to a designated third party. The customer alone bears the risks related to transport.
b) Direct deliveries from the supplier (professional customers): For deliveries organized from the foreign supplier's warehouse to professional customers, the Seller assumes responsibility for shipping until final delivery to the professional customer. The professional customer must imperatively carry out the verifications provided for in article 6.3 upon receipt to enable the Seller to engage the necessary recourse with the carrier.
c) Tripartite delivery: When the professional customer orders for direct delivery to their own customer, they remain solely responsible for ensuring that the final recipient carries out the verifications provided for in article 6.3.
8. SAFETY AND MAINTENANCE (CUSTOMER OBLIGATIONS)
8.1 Mandatory professional fitting: The fitting of wheels must imperatively be carried out by a qualified professional in the motorcycle or bicycle sector, with a corresponding APE code (45.40Z, 33.17Z or similar). Any fitting carried out by an unqualified person results in the immediate cancellation of any warranty.
8.2 Product range and customer responsibility
Product range: MX CONCEPT markets assembled wheels and their components (rims, hubs, spokes, spoke nuts, internal and external spacers, oil seals, bearings), wheel accessories (brake discs, crown nuts), as well as a wide range of equipment and accessories for sports and competition motorcycles (ACERBIS protective equipment, Rip n Roll goggles and accessories, launch control, hour meters, exhaust caps, consumables, spare parts, etc.). The complete list of available products is available on the website and may change without notice.
Availability and compatibility: The customer is solely responsible for verifying the compatibility and suitability of the products they order with their vehicle and intended use. MX CONCEPT does not guarantee the availability of all products for all vehicle models. The Seller does not systematically provide all elements necessary for the complete fitting or use of a product. The customer must ensure when ordering which elements are included and which elements must be obtained separately.
Fitting and installation: For assembled wheels, fitting must be carried out by a qualified professional (see article 8.1). For separately sold components or other products, the customer must follow the manufacturer's instructions or call upon a competent professional. Any damage resulting from incorrect fitting, use of non-compliant or unsuitable products is excluded from the warranty.
8.3 Maintenance and spoke tension: Spoke tension and tightening of spoke nuts must be checked imperatively after the first hour of use and before each outing. The customer acknowledges that spoke breakage or loosening of spoke nuts resulting from lack of maintenance, absence of regular verification or unsuitable use are not covered by the warranty. In case of abnormally early breakage (within 7 days following first use or within 30 days following delivery if the product has not yet been used), the customer may report a possible manufacturing or assembly defect in accordance with article 9.1.
8.4 Prohibition of modification: Any modification of the product (disassembly, machining, painting, drilling) results in the immediate cancellation of any warranty.
8.5 Sports warning: The practice of motor sports involves risks of serious or fatal injuries. The customer uses the products at their own risk and peril and undertakes to respect all safety instructions and wear appropriate protective equipment.
9. WARRANTY AND LIABILITY
9.1 Claims - Imperative deadline: For any apparent conformity defect (reference error, color, etc.) or transport damage, the customer must report the dispute in writing accompanied by photographs to contact@mxconcept.com within 72 working hours following receipt. After this period, any claim relating to apparent defects will be inadmissible. This provision does not restrict the exercise of legal warranties of conformity and hidden defects for individual consumers. Any return requires prior written agreement from the Seller.
9.2 Legal warranties for individual consumers: In accordance with articles L. 217-4 et seq. of the Consumer Code, individual consumers benefit from the legal warranty of conformity and the warranty against hidden defects. The consumer has a period of 2 years from delivery of the goods to take action. They can choose between repair and replacement of the goods, subject to the cost conditions provided for by article L. 217-9 of the Consumer Code.
9.3 Aesthetic appearance defects: No claim concerning aesthetic appearance (superficial scratches, micro-variations in anodization, slight wobble or runout within usage tolerances of 1.5mm) will be accepted once a tire has been fitted on the wheel. The customer must carefully inspect the wheel before tire fitting and report any aesthetic defect before fitting.
9.4 Warranty limitation: The Seller's liability is limited to replacement or repair of defective parts. The warranty expressly excludes:
- External labor costs for disassembly, reassembly or replacement
- Transport costs for return and re-shipment of parts
- Vehicle immobilization costs
- Indirect damages (loss of operation, loss of enjoyment, loss of earnings, loss of opportunity)
9.5 Contractual liability ceiling: Without prejudice to mandatory legal provisions relating to personal injury, the contractual financial liability of EURL L'IDÉE MOTEUR for material damage is strictly limited to the amount excluding VAT invoiced for the product concerned.
9.6 Warranty exclusions: The warranty does not cover damage resulting from:
- An impact, fall or accident
- Use exceeding the normal mechanical limits of the product
- Lack of maintenance (particularly spoke tension, tightening of spoke nuts, bearings, oil seals and spacers not checked)
- Fitting by an unqualified person
- Use of non-compliant accessories
- Modification or transformation of the product
- Use in extreme conditions exceeding the normal capacities of the product
- Normal wear
9.7 Professional insurance: The activity is covered by an AXA Multirisque Professionnelle contract n° 6438754904. The warranty conditions and ceilings are available upon written request. The professional reseller customer is informed that they must take out their own Product Liability insurance to cover resale to end users.
